About these Terms

Adexium Ltd ("Adexium", "We", "Us", "Our") operates a self-serve ad network for web traffic (popunder, in-page push, web push) and Telegram traffic (Telegram Mini Apps, Telegram Bot Messages, iMe Messenger), together with related SDKs, APIs and reporting tools (the "Services").

These Terms & Conditions are a binding agreement between Adexium Ltd and you (the "Advertiser", "Publisher" or "you"). By clicking I ACCEPT, ticking the equivalent checkbox during registration, topping up the Personal Account, sending traffic to Adexium, or otherwise using the Services, you accept these terms in full and without reservation. If you do not agree to these terms, you must not use the Services.

Adexium may amend these Terms at any time at its sole discretion. Any amendment becomes effective upon publication on adexium.io. Continuing to use the Services after publication constitutes acceptance of the amended Terms. You are responsible for reviewing the Terms periodically.

1. Terms and definitions

  • Account — the user's personal access parameters on the Official Website used to manage Services, view balance, set up campaigns or monetization, and perform other actions relevant to the Services.
  • Advertisement — graphic, interactive, rich-media or other online ad creatives (banners, push notifications, in-app placements, sponsored messages, etc.) created or submitted by the Advertiser through the campaign creation flow.
  • Advertiser — the person who entered into this Agreement by registering as an advertiser on the Official Website. A change in the Advertiser's address or country of registration does not terminate or revise this Agreement, except where new local law prevents the Advertiser from performing obligations hereunder.
  • Campaign Settings — the campaign configuration completed by the Advertiser directly on the Official Website (targeting, schedule, pricing, creatives, etc.).
  • Online Resources — websites, web pages, mobile apps and Telegram surfaces owned by a Publisher or third party.
  • Official Website — the website where the Software is published. On the date of conclusion of this Agreement the Official Website is https://adexium.io.
  • Personal Account — the user's personal account in the automated billing system of Adexium where all transactions are recorded. The Personal Account is not a settlement account or a bank account and does not bear interest.
  • Adexium Reporting System — the automated system used by Adexium to measure the actual volume of Services consumed and their overall (final) cost.
  • Privacy Policy — the document containing rules of personal data treatment, prohibited data and related matters; published on the Official Website and constituting an integral part of this Agreement.
  • Publisher — an individual or legal entity providing advertising space on Online Resources for placement of Advertisements through Adexium.
  • Selection — the automated procedure used by the Software to determine which Online Resources are most relevant to a given Campaign Settings configuration.
  • Services — organizing the placement of the Advertiser's Advertisements on Publishers' Online Resources via the Software, based on Campaign Settings filled in by the Advertiser, plus all related tools, SDKs, APIs, reporting and support.
  • Software — the computer programs and APIs that enable management of advertising campaigns across the formats listed above by customizing geo targeting, pricing, schedule and other functions available in the campaign creation flow.

2. Service

2.1. Adexium undertakes to provide the Services to the user within the term of validity of this Agreement on an "as is" and "as available" basis.

2.2. Adexium requires any user to be 18 years or older to use the Services. If you are under that age, written permission from a parent or legal representative is required and shall be sent via support@adexium.io. Without such permission, users under 18 will not be permitted to use the Services.

2.3. The Services are provided online via the global Internet. The Software and/or its components shall not be installed on any servers or computer devices belonging to or controlled by the user, except for auxiliary files required to identify the user or coordinate interoperability with the user's equipment.

2.4. This Agreement is a service rendering agreement concluded on the principle of Software as a Service. The user does not acquire any rights in the Software (no ownership, no intellectual property, no property rights, no non-property rights).

2.5. No partnership. Nothing in this Agreement creates any agency, partnership, joint venture, fiduciary or employment relationship between Adexium and any user. Adexium acts solely as an intermediary platform connecting Advertisers and Publishers.

2.6. Third parties. Adexium does not control, endorse and is not responsible for any acts, omissions, content, products, services, websites, apps or other materials of Publishers, Advertisers, ad exchanges, SSPs, DSPs, anti-fraud vendors, payment processors or any other third parties. All dealings with such third parties are solely between you and such party.

3. Payment terms. Transactions

3.1. Top-up. The Advertiser controls the Personal Account and ensures a positive balance sufficient for pre-payment of the Services and the related cost of Publisher services. The minimum top-up amount is USD 100. All payments to Adexium are made in US Dollars. Pre-conversion from other currencies is the Advertiser's responsibility; Adexium is not liable for conversion accuracy, FX rates or related expenses.

3.2. Debiting. The Personal Account is debited when an Advertisement is placed on Online Resources under the Campaign Settings. An estimated cost is displayed in the campaign creation flow before launch. The Advertiser acknowledges that the estimated amount may differ from the final amount due to specific campaign characteristics, bidding dynamics, third-party fees and reporting delays.

3.3. Top-up channels. The Personal Account may be credited only by the Advertiser via the methods listed on the Official Website. All commissions, fees, FX losses and similar costs charged by banks, payment systems, crypto processors or other financial institutions are borne by the Advertiser. All payments referencing the Personal Account are considered to be made by the Advertiser. The Advertiser undertakes not to disclose Personal Account credentials to any third party and bears all consequences of any such disclosure.

3.4. Reconciliation (NET 3 business days). The final cost of the Services is determined on the basis of the Adexium Reporting System and displayed in the Advertiser's Personal Account. If the final cost exceeds the estimated cost, the Advertiser shall credit the Personal Account to cover the difference within 3 business days from Adexium's notice. Adexium is entitled to debit the Personal Account to cover the difference. If the Advertiser defaults, Adexium may collect a penalty fee of 1% of the overdue amount per day of delay by debiting the Personal Account and/or any other balance the user holds with Adexium, and may suspend or terminate the account.

3.5. No guarantee of results. Selection chooses the most appropriate Online Resources for an Advertisement under Adexium's algorithms. Adexium does not guarantee any specific number of impressions, clicks, conversions, installs, ROI, revenue, audience size, ad delivery, viewability, brand-safety outcome or any other campaign result.

3.6. Sole source of truth. The Parties agree that data from the Adexium Reporting System is the only valid source for determining the amount of funds subject to crediting or debiting the Personal Account, the volume of impressions/clicks/conversions delivered, and the value owed to or by the user. Third-party tracker discrepancies, MMP discrepancies or any other external measurements are not binding on Adexium.

3.7. No cash-out refunds. In no event shall Adexium make cash-out refunds from the Personal Account to external bank, card, crypto or settlement accounts of the Advertiser, except as expressly permitted under clauses 3.8 and 3.9 and at Adexium's sole discretion. Funds credited to the Personal Account are intended solely for consumption of the Services and have no monetary value outside the platform.

3.8. Refunds for placement errors (in-platform credit only). If the Advertiser detects errors in Advertisement placement, the Advertiser may request Adexium to refund the affected amount by crediting the Personal Account (not to an external account). Such request must be submitted within 5 calendar days after detection. A refund may be granted only in the following cases, and only after Adexium's audit confirms the error:

  • the Advertisement received an abnormal number of clicks from the same IP address within one day and Adexium confirms bot or invalid traffic;
  • the Advertisement was placed outside the targeting characteristics specified by the Advertiser in the Campaign Settings due to a Software error.

Adexium reserves the right to conduct its own audit, including any third-party verification, to verify whether the relevant error took place. Adexium is the sole arbiter of whether bot/invalid traffic occurred, whether a Software error occurred, and of the amount (if any) to be refunded. Its determination is final and binding. If approved, the credit is applied to the Personal Account within thirty (30) calendar days. All commissions and fees related to refunds are paid by the Advertiser.

3.9. Discretionary cash refunds (5% fee, 5 business days SLA). Where applicable mandatory law (and only where applicable mandatory law) requires Adexium to refund funds to an external account, or where Adexium agrees in its sole discretion to do so:

  • a refund processing fee of 5% (five percent) of the refunded amount is deducted to cover bank/payment-system commissions and Adexium administrative costs;
  • approved refund requests are processed within 5 business days from Adexium's written confirmation that the request is valid and complete;
  • Adexium reserves the right to deny any refund where it suspects fraud, chargeback abuse, money laundering, breach of these Terms, breach of the Privacy Policy or violation of the Prohibited Content list, or where the request is incomplete or unverifiable;
  • the Advertiser bears any additional commissions charged by their bank, card network or payment system;
  • refunds are made only to the same source of funds from which the original top-up was received.

3.10. Chargeback waiver. The Advertiser agrees not to initiate, encourage or participate in any chargeback, dispute, reversal or claim with their bank, card network or payment processor concerning any payment made to Adexium. Any chargeback initiated in breach of this clause is a material breach of this Agreement, entitles Adexium to suspend or terminate the account immediately, to debit the Personal Account for the chargeback amount plus a USD 50 administrative fee per chargeback plus all processor penalties, and to pursue collection through any legal means.

3.11. Set-off. Adexium may at any time set off any sum owed by the user to Adexium against any sum owed by Adexium to the user, across any account, campaign or product.

3.12. Publisher payouts. Publisher revenue is paid out only after the relevant impressions and clicks have been verified by the Adexium Reporting System and after deduction of any amounts owed back due to invalid traffic, ad fraud, chargebacks from Advertisers, refunds, refund-fee reversals, malicious behavior, breach of these Terms or applicable holdbacks. Adexium reserves the right to withhold, delay, reduce or fully reject any Publisher payout where invalid traffic, bot traffic, fraud, suspicious behavior, ad-stacking, cloaking, motivated traffic, incentivized traffic, breach of these Terms or any other policy violation is detected or reasonably suspected. Adexium is the sole arbiter of such determinations and its decision is final and binding.

4. Quality of the Services. Warranty disclaimer

4.1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Adexium does not warrant that the Services will be uninterrupted, timely, secure, error-free, free from harmful components, accurate, complete, or that any defects will be corrected.

4.2. Adexium uses commercially reasonable efforts to keep the Services available 24/7 but provides no SLA, no uptime guarantee, no performance guarantee of any kind. Where Service provision must be terminated for maintenance, improvement or any other reason, Adexium will aspire (but is not obliged) to provide advance notice.

4.3. The user shall contact technical support via the Official Website or by sending a request to support@adexium.io. Instructions sent from an email confirmed by the user as their own are deemed to be sent by the user, regardless of who actually sent them.

4.4. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADEXIUM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, QUIET ENJOYMENT, SECURITY, AVAILABILITY AND ABSENCE OF VIRUSES OR OTHER HARMFUL CODE. If you are not satisfied with the Services, your sole and exclusive remedy is to stop using them and terminate this Agreement under clause 12.1.

4.5. Third-party services. The Services may interoperate with or rely on third-party services (ad exchanges, anti-fraud vendors, hosting providers, payment processors, Telegram, MMPs, etc.). Adexium does not warrant such third-party services and is not liable for their acts, omissions or failures.

5. Data privacy and confidentiality

5.1. The Privacy Policy is published on the Official Website and constitutes an integral part of this Agreement.

5.2. All non-public information about Adexium, the Services, the Software, the Official Website and any communications between the Parties is considered confidential. The user undertakes not to disclose, reproduce or use any such information except as strictly required to use the Services.

5.3. The user is solely responsible for all consents, notices, transparency, lawful basis, opt-outs and any other obligations under applicable data protection laws (including GDPR, ePrivacy, CCPA/CPRA and similar laws) with respect to any data collected, processed or transmitted in connection with its campaigns, creatives, pixels, SDK integrations or Online Resources. The user shall maintain a valid privacy policy, cookie banner / consent management platform (where required), and clear notice to end-users.

6. Children's privacy

The user represents and warrants that it will not use the Services in connection with children under 16 years of age, will not target children, and will not enable the Software to collect any Prohibited Data. "Prohibited Data" means:

  • data that the user knows or should know to be directed or targeted at children, or used by a substantial or disproportionately high ratio of children, where the children are under 16;
  • data whose use is legally prohibited because consents have not been obtained or other necessary measures have not been taken.

7. Applications by the user

7.1. All applications, addresses and decisions of the user regarding amendments to Service provision (where allowed) shall be made via the Account on the Official Website.

7.2. The user shall keep Account credentials confidential and not disclose them to any third party. All actions performed via the Account are deemed to be performed by the user, including any action that debits the Personal Account, exposes confidential information, or causes additional expenses. Adexium is not responsible for any unauthorized access caused by the user's failure to secure credentials, including (without limitation) weak passwords, shared credentials, lost devices or phishing.

8. Adexium's liability limitation

8.1. The Parties expressly agree that Adexium's legal liability is limited to the maximum extent permitted by law. Neither Adexium nor any of its affiliates, subsidiaries, branches, officers, directors, shareholders, employees, contractors, suppliers, agents or other connected persons shall bear any liability for:

  • any loss exceeding the twofold amount of the latest payment made by the user to Adexium during the 30 days preceding the event giving rise to liability, and in any case capped at USD 1,000 (one thousand US Dollars) in aggregate, whichever is lower;
  • any special, incidental, indirect, exemplary, punitive or consequential loss, including (without limitation) loss of profits, revenue, business, goodwill, data, opportunity, anticipated savings or use, whether arising in contract, tort (including negligence), strict liability, statute or otherwise;
  • any loss arising from acts, omissions, errors, fraud, defaults or insolvency of Publishers, Advertisers, payment processors, ad exchanges, third-party trackers, hosting providers, Telegram, anti-fraud vendors or any other third party;
  • any loss arising from suspension, throttling, blacklisting, ad-platform policy decisions, account bans, creative rejections, geo-blocking or any other moderation action by Adexium or any third party;
  • any loss arising from invalid traffic, ad fraud, bot traffic, click farms, cloaking, ad-stacking, malware, virus or other security incidents originating outside Adexium's direct infrastructure;
  • any loss arising from chargebacks, refunds or financial disputes;
  • any loss arising from force majeure (see clause 10);
  • any loss arising from Internet outages, DNS failures, DDoS attacks, BGP hijacks or other connectivity issues outside Adexium's reasonable control.

This liability limitation constitutes one of the foundations of the Agreement; in its absence, the Agreement would not be concluded or its conditions would be materially different. It applies regardless of (i) whether a claim is filed under contract, tort, statute or any other legal theory; (ii) whether Adexium has been informed of the possibility of such losses; (iii) whether limited remedies fail their essential purpose.

8.2. Where applicable mandatory law sets a minimum liability higher than the limit in clause 8.1, only such mandatory minimum shall prevail, and only to the extent strictly required by such law.

8.3. Adexium is not liable for use or provision of inaccurate information at registration. Where such facts are established, Adexium may suspend or cease rendering the Services without compensation. This liability limitation extends to any person who provided the inaccurate information and any person whose data was provided.

9. Liability of the user

9.1. The user bears full and unlimited liability for due execution of all obligations under this Agreement, including but not limited to:

  • compliance with these Terms, the Privacy Policy and any policies published on the Official Website;
  • self-sufficient and complete execution of payments;
  • legal compliance of campaigns and Online Resources under all applicable laws (advertising, gambling, financial, pharmaceutical, IP, data protection, consumer protection, tax, sanctions, anti-bribery, anti-money-laundering, export-control, etc.) in every jurisdiction where users may be reached;
  • obtaining and maintaining all licenses, permits, registrations and consents required for its campaigns and Online Resources;
  • activities that damage Adexium's business reputation or otherwise infringe Adexium's business conditions;
  • any other damages or losses inflicted on Adexium directly or indirectly connected with acts or omissions of the user.

9.2. Prohibited content. The user is fully responsible for the content of Advertisements and Online Resources, including creatives, landing pages, pre-landers, redirects, post-click flows and SDK integrations. Such content shall not include prohibited content, including but not limited to:

  • advertising, propaganda or calls for exploitation or abuse of minors;
  • advertising aimed at involving potential victims in human trafficking, sexual services under the guise of legitimate activities, or antisocial behavior;
  • advertising of high-risk investments, get-rich-quick schemes and financial pyramids;
  • advertising, propaganda or calls for illegal activity;
  • advertising, propaganda or calls for the use of narcotic drugs, psychotropic substances, their precursors and analogues, or digital drugs;
  • information discrediting the honor, dignity or business reputation of individuals or organizations;
  • online pharmaceuticals and prescription drugs (excludes lawful dietary supplements);
  • pornographic materials, print media, images or other items of a pornographic nature;
  • magical services — hypnotists, psychics, fortune-tellers, spiritists, astrologers, sorcerers, soothsayers and persons claiming supernatural abilities, as well as training services for these activities;
  • advertising, propaganda or calls for the use of nicotine-containing substances and tobacco products;
  • advertising of weapons and explosives;
  • calls to join religious groups and participate in religious ceremonies;
  • intentional self-harm, mutilation or suicide propaganda;
  • illicit trade in human organs;
  • advertising of escort services, sexual services (including under the guise of psychological assistance, communication, relaxation, massage or other legitimate activities);
  • goods and services against human rights and freedoms;
  • information or publications promoting the cult of violence and cruelty;
  • information inducing violence, cruelty or dangerous actions threatening health, safety or property;
  • direct or hidden threats, harassment or attacks on individuals or organizations;
  • criminal or terrorist publications;
  • information encouraging or advertising hacking of computer systems and programs;
  • malware, spyware, miners, dialer software, phishing pages, fake AV scams, ransomware, tech-support scams;
  • any other information whose distribution is prohibited by applicable law in any jurisdiction reached by the campaign.

Although Adexium is not able to check the content of every Advertisement, Adexium has, in its sole discretion and without any liability, the right to reject, pause, throttle, blacklist or remove any Advertisement, Online Resource or account that includes or is based on prohibited or illegal content, or that Adexium believes may pose a risk to its business, reputation, users or partners. No refund is due for content removed under this clause.

9.3. Advertisements and Online Resources shall be free from spyware, malware, miners, cryptojackers, click-jackers, force-redirect scripts, cloaking layers, fingerprint stuffing or any malicious code, and shall comply with these Terms.

9.4. Indemnification. The user will defend, indemnify and hold Adexium, its affiliates, officers, directors, employees, agents and representatives harmless from and against any and all claims, damages, liabilities, losses, costs and expenses (including reasonable attorneys' fees and court costs) arising from or related to (a) the user's use of the Services; (b) the content of any Advertisement, Online Resource or related materials; (c) any breach by the user of these Terms, the Privacy Policy or applicable law; (d) any claim by an end-user, regulator, payment processor or third party concerning the user's campaigns, traffic, monetization or data practices. Adexium reserves the right to assume exclusive control of the defense of any matter subject to indemnification, in which case the user shall fully cooperate at its own expense.

10. Force majeure

10.1. The Parties are exempt from liability for partial or entire failure to perform obligations under this Agreement where such failure resulted from an impediment of an extraordinary nature occurring after the Agreement was concluded — including but not limited to floods, fires, earthquakes, volcanic eruptions, epidemics, pandemics, tsunami, accidents of anthropogenic nature, war, armed conflicts, terrorism, sanctions, embargoes, national strikes, international agreements, governmental decrees or regulations, large-scale Internet outages, BGP hijacks, DDoS attacks, blockchain-network outages and illegal activities of third parties.

10.2. The Party invoking force majeure shall inform the other Party in writing within 5 (five) days and prove its emergence with reasonable documentary evidence.

10.3. If any of the above directly affects fulfillment of obligations within the term stipulated by the Agreement, that term shall be postponed for the duration of the relevant impediment.

11. Applicable law and dispute resolution

11.1. This Agreement is governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply. The applicable law governs:

  • this Agreement, its validity, amendment and termination;
  • obligations of the Parties under this Agreement, including those not directly mentioned but presumed in connection with its execution;
  • any disagreements and disputes between the Parties in connection with its execution.

11.2. The Parties shall use commercially reasonable efforts to resolve any disagreement through good-faith negotiation. Any dispute that cannot be resolved by negotiation shall be finally settled under English law by a court of competent jurisdiction, or, at Adexium's sole election, by binding arbitration administered by the London Court of International Arbitration (LCIA) in English, with a single arbitrator, seated in London, with each Party bearing its own costs.

11.3. Class-action waiver. To the maximum extent permitted by applicable mandatory law, the user agrees to bring any claim against Adexium only in its individual capacity and not as a plaintiff or class member in any purported class, collective or representative action.

12. Suspension and termination

12.1. By the user. The user is entitled to discontinue use of the Services and dissolve this Agreement at any time upon notification to Adexium. If the user withdraws while the Personal Account balance is positive, the user acknowledges that any remaining balance is forfeited and shall not be refunded as cash, except where mandatory law requires otherwise (in which case clause 3.9 applies).

12.2. By Adexium for cause. Adexium is entitled to suspend the account and/or withdraw from this Agreement at any time upon notification of the user, including (without limitation) where:

  • the user breached these Terms, the Privacy Policy, the Prohibited Content list or any other policy published on the Official Website;
  • acts or omissions of the user caused or are reasonably likely to cause damage to Adexium, its affiliates or its partners;
  • the user breached confidentiality obligations;
  • fraud, invalid traffic, money laundering, sanctions violation or other illegal activity is detected or reasonably suspected;
  • a chargeback, dispute or reversal is initiated in breach of clause 3.10;
  • the user has not purchased the Services for more than 3 (three) months after the last credit of the Personal Account.

Suspension is effective immediately upon Adexium's decision. Adexium may, but is not obliged to, restore the account once the cause is remedied. Upon termination for cause, any remaining balance on the Personal Account may be forfeited and applied against amounts owed by the user (penalties, fees, damages, indemnification obligations, refund-fee reversals, third-party costs). If applicable mandatory law requires return of any balance, clause 3.9 applies and the user must submit a written request within 10 (ten) days of termination notice.

12.3. By Adexium without cause. Adexium is entitled to withdraw from this Agreement at any time upon notification of the user, including in cases not connected with any breach by the user, by giving 30 (thirty) days' notice via the Personal Account and the user's registered email.

12.4. Survival. Provisions which by their nature should survive termination — including clauses 3.10, 3.11, 5, 8, 9, 11 and this 12.4 — shall survive termination of this Agreement.

13. Miscellaneous

13.1. Entire agreement. These Terms, together with the Privacy Policy and any policies referenced from the Official Website, constitute the entire agreement between the Parties and supersede all prior or contemporaneous agreements, communications and proposals.

13.2. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by an enforceable provision that most closely reflects the original intent.

13.3. No waiver. Adexium's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

13.4. Assignment. The user may not assign or transfer this Agreement or any rights or obligations hereunder without Adexium's prior written consent. Adexium may freely assign this Agreement, in whole or in part, including to any affiliate or successor.

13.5. Notices. Notices to Adexium shall be sent to support@adexium.io. Notices to the user shall be sent to the email registered in the Account or posted in the Personal Account.
